Elderberries Nominating Committee
Terms of Reference (Draft March 2018, 2018-03)
- Purpose : The Nominating Committee is a standing committee of the Board of Elderberries. Prior to the Annual General Meeting, the Nominating Committee will seek out and nominate a list of volunteers willing to serve in soon to be vacant positions on the Elderberries Board.
- Membership : The Committee has three to five members, one of whom shall be a member of the Elderberries Board. Other persons may be invited to attend meetings and provide input as required. The Chair of the Committee shall be the Immediate Past Chair of Elderberries. If there is no serving Immediate Past Chair, the Chair of the Committee shall be appointed by the Elderberries Board no later than the January 1 preceding the AGM.
- Meetings : The Nominating Committee shall meet at least once per year. * Other meetings shall be held at the request of any member. * Notice of meeting shall be given at least three working days in advance.* Quorum for a Committee meeting is three members.
- Nomination and selection process :
- Recruit candidates for consideration from the Elderberries membership and other appropriate sources. Possible criteria to consider when recruiting candidates might include * proven leadership * previous Board experience * knowledge and experience * diversity * previous experience at Board level elsewhere * specific skill sets : e.g., financial experience, legal background, public relations, experience of nonprofits, knowledge of LGBT organizations, etc.
- Publicize a call for Elderberries members to submit possible candidates, and also publicize the results of the nominating process.
- Fairly and objectively evaluate possible candidates in light of the skill sets and diversity needed by the Board.
- Maintain confidentiality re Committee deliberations.
- Any committee member with a conflict of interest re any nominee shall disclose it and refrain from voting on that candidate or issue.
- Nominations from the floor : Nominations may be submitted from the floor at the Annual General Meeting. Consent of the nominee must be provided either in person or in writing. A member may nominate him or her self. Nominations from the floor must be seconded.
- The Nominating Committee shall report to the Elderberries Board and shall be responsible to the Board for its activities
